1) For the implementation of the Project, a Minutes of Meeting (Principles) was signed by and between the Ministry of Water Resources of China and the Ministry of Public Works of Indonesia on 23rd, December, 2005; #p< 1@,
2) A Minutes of Meeting on the fifth meeting of SINO-INDONESIA Joint Group on Preferential Export Buyer’s Credit signed on 3rd March, 2006 confirmed their respect to the Minutes of Meeting signed by the Ministry of Water Resources of China the Ministry of Public Works of Indonesia on 23rd, Dec., 2005 and requested to commence the procurement process accordingly as soon as possible; ~Ey)9phZK
3) The President of the Republic of Indonesia, H. E. Susilo Bambang Yudhoyono (苏西洛•班邦•尤多约诺) will visit China and open the Second Indonesia-China Energy Forum at Shanghai on the first of November, 2006. The Indonesian government requests to sign the implementation contract in the Forum. gZ{q85C.>

The Ministry of Public Works of Indonesia (the Employer) and Sinohydro Corporation Ltd (Sinohydro) held meetings on 12 -13 of July, 2006 in Jakarta and agreed as follows: sf""]c$
1. The Parties agreed to do their every efforts to finalize the Implementation Contract of the Project by 25th of October, 2006; "v %|&@
2. To reach the above mentioned target, the key date of the activities according to the tentative schedule are as follows : e[5= ?p@|
The Employer shall provide the tender documents to the Joint Operation (the Contractor) established by Sinohydro with an Indonesian contractor consortium by 1st of September, 2006, which includes General Contract Condition, Particular Contract Conditions, Bill of Quantity, Specifications, tender drawings, etc.. The Contractor shall submit the technical and commercial proposal for the Implementation of the Project to the Employer by 15th of September, 2006. ds> V|}f[
The Parties shall start the negotiation of the Implementation Contract from 20th of September, 2006. <qGVOAnz+
3. To ensure the progress and quality of the Project implementation and to avoid possible disputes of the contractual responsibilities, the Employer agreed that he shall consult Sinohydro for the issue of local contractors to be recommended as Sinohydro’s local partners in the Project. The cooperation model and the cooperation agreement will be discussed and agreed by Sinohydro and the recommended local contractors and it will be approved by the Employer and concerned Chinese authorities. ^5BLuN6
4. The Parties agreed the General Contract Conditions for the Implementation of the Project will be the Contract Conditions (4th Edition) published by FIDIC. "l83O8 L
5. Sinohydro shall provide possible assistance to the Employer with regard to necessary approvals and other procedures of the Contract and the loan. i,k.#Vx[m
